By accessing or using this website, you agree to these Terms & Conditions.
Where R2D provides services to a client, the specific terms contained in an agreed proposal, Statement of Work, service agreement or other written agreement will take precedence over these website Terms & Conditions where there is any inconsistency.

2. Website Information
The content on the R2D website is provided for general information about our services, capabilities, methodologies and expertise.
While we aim to keep website information accurate and current, we do not guarantee that all information will always be complete, error-free or suitable for a particular organisation or technical environment.
Nothing on this website should be treated as a guarantee that a particular automation approach, framework, technology or strategy will produce a specific business or technical outcome.
3. R2D Services
The exact scope of services provided by R2D will normally be defined in a:
Proposal
Statement of Work
Service Agreement
Engagement Letter
Purchase Order
Project Agreement
Or another mutually agreed written document
The relevant agreement may specify:
Scope and deliverables
Project assumptions
Responsibilities
Fees and payment terms
Timelines and milestones
Technology and tool choices
Environments and access requirements
Acceptance criteria
Intellectual property arrangements
Support and maintenance arrangements
Work outside the agreed scope may require additional approval, time and fees.
4. R2D Velocity Model
Some engagements may use the R2D Velocity Model, including stages such as:
Discovery & Automation Readiness
Assessment of the client’s current testing environment, automation maturity, architecture, tooling, test data, CI/CD capability and automation opportunities.
Framework Deployment
Deployment or development of automation frameworks, reusable components, standards, utilities, reporting and integration with appropriate delivery pipelines.
Modernisation & Enablement
Expansion or migration of automation coverage, optimisation of existing automation assets, knowledge transfer, team enablement and transition of ownership.
The exact activities undertaken will depend on the agreed scope for each engagement.
5. Client Responsibilities
Successful automation delivery depends on collaboration between R2D and the client.
Clients may be required to provide:
Timely access to relevant applications and environments
Appropriate system permissions
Test accounts and test data
Technical documentation
API specifications
Existing automation assets
Source repositories where applicable
CI/CD access where applicable
Suitable infrastructure
Availability of relevant subject-matter experts
Accurate information about systems and requirements
Timely reviews, approvals and decisions
Delays or limitations in providing these resources may affect delivery dates, effort, costs or project outcomes.
R2D is not responsible for delays or failures caused by circumstances outside our reasonable control or by unavailable, unstable or incorrectly configured client systems and environments.
6. Automation Results and Expectations
Test automation can significantly improve testing efficiency, repeatability and visibility, but automation cannot guarantee that software will be completely free from defects.
Automated tests validate defined behaviours, scenarios and conditions based on the available requirements, environments and test data.
R2D does not guarantee:
Complete detection of every software defect
Complete test coverage of an application
Zero production defects
Permanent elimination of automation maintenance
Continuous compatibility with future application changes
Continuous compatibility with third-party products or tools
Automation frameworks and test suites may require ongoing maintenance as applications, environments, browsers, APIs, dependencies and third-party technologies change.
7. Third-Party Tools and Technologies
R2D may recommend or work with third-party platforms, libraries and technologies including, where appropriate:
Playwright
Selenium
Cypress
Appium
REST Assured
JMeter
CI/CD platforms
Cloud services
Reporting tools
Development tools
Artificial intelligence-assisted tools
Third-party products remain subject to their own licences, terms, availability and support arrangements.
R2D does not control third-party technologies and cannot guarantee that they will remain available, compatible, free of defects or unchanged.
Changes made by third-party technology providers may require modifications to automation solutions and may result in additional maintenance or implementation work.
8. Artificial Intelligence
R2D may use artificial intelligence-assisted technologies as part of our engineering, research, analysis, documentation or automation development processes where appropriate.
AI-assisted output may be reviewed, modified and validated by R2D professionals before being used in client deliverables where appropriate.
Our approach is based on:
AI with human intervention.
AI-generated output is not treated as an automatic replacement for professional engineering judgement, validation or testing.
Confidential or sensitive client information will be handled in accordance with applicable confidentiality, privacy, security and contractual requirements.
9. Intellectual Property
Unless otherwise agreed in writing, all intellectual property owned by either party before an engagement remains the property of that party.
Client Materials
The client retains ownership of its:
Applications
Source code
Data
Business processes
Documentation
Existing test assets

Providing these materials to R2D does not transfer ownership to R2D.

R2D retains ownership of intellectual property developed independently of a specific client engagement, including our:
Methodologies

Unless otherwise stated, third-party and open-source components remain subject to their respective licences.
10. Confidentiality
R2D recognises that clients may provide confidential business and technical information during an engagement.
We will take reasonable measures to protect confidential information and use it only for legitimate purposes relating to the relevant engagement.
Confidential information may include:
Business information

Technical documentation
Customer information
Test data
Commercial information

Additional confidentiality obligations may be included in a Non-Disclosure Agreement or client service agreement.

11. Client Data and Test Data
Where possible, R2D encourages clients to provide anonymised, masked, synthetic or non-production data for testing and automation activities.
The client is responsible for ensuring that it has the appropriate rights and authority to provide any data, system access or materials supplied to R2D.
R2D will handle personal information in accordance with our Privacy Policy and applicable New Zealand privacy requirements.
12. Security
R2D takes reasonable steps to protect systems, credentials, information and automation assets used during our engagements.
However, no computer system, internet transmission, software platform or cloud service can be guaranteed to be completely secure.
Clients remain responsible for maintaining appropriate security controls over their systems and determining the level of access provided to R2D.
13. Fees and Payment
Fees for professional services will be specified in the applicable proposal, Statement of Work, service agreement or invoice.
Unless otherwise agreed:
Fees are stated in New Zealand dollars where applicable

Changes may affect:
Delivery dates
Resource requirements
Technical approach
Deliverables
Fees
R2D will endeavour to discuss material scope changes with the client before undertaking additional chargeable work.
16. Acceptance of Deliverables
Where formal acceptance criteria are included in a Statement of Work or project agreement, those criteria will apply.
Clients are expected to review deliverables within any agreed review period and communicate material issues or concerns promptly.
Corrections to work that does not meet agreed acceptance criteria will be handled according to the applicable engagement agreement.
Requests that introduce new requirements or functionality may be treated as additional scope.
17. Warranties
R2D will provide professional services with reasonable care and skill.
However, except where expressly agreed or required by law, we do not guarantee that:
Automation will operate without interruption
Automation will identify every software defect
Third-party technologies will remain compatible
Client environments will remain stable
A particular financial or operational result will be achieved
Nothing in these Terms excludes rights or obligations that cannot lawfully be excluded.
18. Limitation of Liability
To the maximum extent permitted by law, R2D will not be liable for indirect, consequential or special losses arising from use of our website or services, including loss of profits, revenue, anticipated savings, business opportunities or data, except where such liability cannot lawfully be excluded.
Any specific limitation of liability applying to a professional services engagement should be defined in the applicable service agreement, proposal or Statement of Work.
Nothing in these Terms is intended to exclude or limit liability where doing so would be unlawful.
19. Consumer and Business Rights
R2D primarily provides services to businesses and organisations.
Where any New Zealand legislation applies and cannot legally be excluded, these Terms do not limit the rights provided by that legislation.
Where both R2D and the client are acting in trade, any agreement concerning the application or exclusion of statutory guarantees must comply with applicable New Zealand law and any requirements relating to contracting out.
